Terms of Use

These Terms of Use ("Terms") govern your access to and use of Kingtide (the "Service") — an AI-powered B2B lead generation platform in which AI agents research prospects, build lead lists, draft outreach emails, manage sending infrastructure, and optimize campaigns on your behalf, while you review and approve key decisions.

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not access or use the Service.

The Service is a business tool. You must be at least 18 years old, able to form a binding contract, and using the Service on behalf of a business. If you use the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

Our Privacy Policy explains what information we collect and how we handle it. By using the Service you consent to the collection and use of information as described there.

You are responsible for safeguarding your account credentials and for all activity under your account. Notify us promptly at support@kingtide.ai if you suspect unauthorized use of your account.

You may not use the Service to:

• violate any law or the rights of any person or business;
• send unlawful, deceptive, or fraudulent messages, or distribute malware or harmful content;
• impersonate any person or misrepresent your affiliation;
• send content that is hateful, harassing, or defamatory;
• probe, disrupt, or circumvent the Service's security or usage limits, or resell the Service without our written consent.

You bear full and sole responsibility for the content you provide to the Service, the campaigns you approve, and the communications sent from your account — including communications drafted by the AI agents on your behalf.

The Service sends commercial email to business contacts on your behalf. You are the sender of those communications, and you are responsible for ensuring your outreach complies with all applicable laws — including the U.S. CAN-SPAM Act and any other laws applicable to you or your recipients.

The Service provides compliance tooling — including unsubscribe handling and do-not-contact suppression — and you agree not to circumvent it. You warrant that your offer, messaging, and targeting are lawful, and that you will promptly honor any recipient's request to stop being contacted.

The Service uses artificial intelligence to research prospects, score leads, and draft outreach copy. AI output may contain errors or inaccuracies. The Service is designed so that you review and approve key decisions, and you are responsible for the content of any message sent from your account, whether or not you individually reviewed it. We make no guarantee as to the accuracy, reliability, or completeness of AI-generated content, or as to campaign results (replies, meetings, or revenue).

The Service is offered as a monthly subscription. Fees are billed in advance each billing period and are non-refundable except where required by law or expressly stated otherwise. By providing a payment method you authorize us to charge it on each renewal until you cancel.

You may cancel at any time; cancellation takes effect at the end of the current billing period. We may change pricing with reasonable advance notice — changes apply from your next renewal.

We may modify, suspend, or discontinue any part of the Service at any time. We may suspend or terminate your access for breach of these Terms. You may stop using the Service and terminate your account at any time; upon termination your data may be deleted in accordance with our Privacy Policy.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will achieve any particular outcome for your business.

To the maximum extent permitted by law, Kingtide will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, or data. Our total liability for all claims arising out of or relating to the Service is limited to the amounts you paid us in the twelve (12) months preceding the claim.

You agree to indemnify and hold harmless Kingtide and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your content, your outreach campaigns, or your violation of these Terms or of any third party's rights.

We may identify you as a customer and use your company name and logo in our marketing materials. We will never disclose your confidential campaign data. You may opt out by emailing support@kingtide.ai; we will remove the reference within 30 days.

By signing up you consent to receive service and product emails from us, including activity notifications from your AI agents. Marketing emails include an unsubscribe link; service emails (such as billing and security notices) are part of operating your account.

We may update these Terms from time to time. Updates take effect when posted on this page, and the "Last updated" date will reflect the current version. Continued use of the Service after an update constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. Disputes will be resolved in the courts of Ontario, unless the parties agree to arbitration or mediation.

If any provision of these Terms is held invalid, the remaining provisions remain in full effect. These Terms are the entire agreement between you and Kingtide regarding the Service. You may not assign these Terms without our written consent. We are not liable for delays or failures caused by events beyond our reasonable control. Section headings are for reference only.
